The ASMX is a private marketplace open only to verified Accredited Investors and Qualified Investors. Nothing on this site is an offer to sell or a solicitation to buy any security. Securities offerings are made only through official offering documents to qualified investors. Investments in private securities involve risk, including possible loss of principal.

Conduct Standards
Membership in the ASMX is a privilege extended to participants who uphold the Exchange's commitment to integrity and just and equitable principles of trade.
All members are expected to meet and maintain standards of financial competence and good character, to deal fairly and honestly with other members and with the Exchange, and to observe high standards of commercial honor. Members must comply with the ASMX rulebooks and with all applicable state and federal securities and lending laws.
The ASMX has the authority to investigate conduct, request information, and discipline members for violations — including censure, suspension of access, or termination of membership — in order to protect the integrity of the marketplace and the confidence of those who participate in it.

Access Tiers
The ASMX provides tiered access designed to fit the role each member plays in the marketplace.
Member Portal Access (Investing). Verified Accredited and Qualified Investors receive full investing access, including the ability to submit bids and investment agreements in both the Primary Market and the Secondary Market across the Equity Shares Market and the Debt Securities Market.
Limited & Non-Investing Access. A separate, non-investing tier is available to participants who support the function of the Exchange but are not acting as investors. This includes issuers and borrowers listing securities, transfer agents, broker-dealers and market makers, escrow agents, and compliance and legal professionals. Limited-access members may use the tools relevant to their role without investing privileges.

Investor Eligibility
The ASMX is a private marketplace. Participation in investing activity is limited to investors who qualify under recognized securities standards in their jurisdiction.
Accredited Investors. In the United States, an Accredited Investor is an individual with a net worth exceeding $1,000,000 (excluding the value of a primary residence), or with individual income exceeding $200,000 (or $300,000 in joint income with a spouse) in each of the two most recent years, with a reasonable expectation of the same in the current year. Entities may also qualify under applicable thresholds. The ASMX recognizes equivalent accredited, sophisticated, or professional-investor standards for residents of Canada, Australia, the European Union, Israel, and Singapore.
Qualified Investors. A Qualified Investor is a sophisticated investor who, by reason of financial and business experience, is capable of evaluating the merits and risks of a prospective investment — and who is advised by an investment advisor or broker-dealer registered with the SEC or FINRA, or by a lawyer who is an active member in good standing. Qualified Investors may participate in offerings to the extent permitted by the exemption under which each security is offered.
Qualified Purchasers. Certain offerings are open to Qualified Purchasers as defined under applicable federal securities law, which generally requires substantially higher investment thresholds.
All prospective investing members must complete the ASMX verification process and provide documentation confirming their status before being granted investing access.
